Terms of Service

1. The Service

Keel provides cloud-based tools for inventory, sales, and shop management, accessible via web and as an installable app (PWA). Keel is provided on a subscription basis to registered business accounts ("Merchants"). We may add, change, or remove features over time as the product evolves.

2. Accounts

You must provide accurate information when creating an account and keep it up to date.

You are responsible for all activity that happens under your account, including actions taken by your staff or anyone you grant access to.

You must keep your login credentials confidential and notify us promptly of any unauthorized use.

You must be legally able to operate a business in your jurisdiction to use Keel for commercial purposes.

3. Subscription, Billing & Payment

Keel is offered under subscription plans (e.g., Starter Business and other tiers we may introduce). Current pricing and plan features are shown on our pricing page.

Subscriptions renew automatically for the same billing period unless cancelled before the renewal date.

Payments are processed through Paystack. By subscribing, you authorize us to charge your chosen payment method for recurring fees.

Fees are non-refundable except where required by law or expressly stated otherwise.

If a payment fails, we may suspend access to your account until payment is resolved.

We may change subscription pricing with advance notice; continued use after a price change takes effect constitutes acceptance.

4. Acceptable Use

You agree not to:

  • Use Keel for any unlawful purpose, or to process payments or transactions you are not legally entitled to process.
  • Attempt to access another Merchant's data or account without authorization.
  • Reverse-engineer, scrape, or attempt to extract Keel's source code or underlying infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use Keel to store or transmit malicious code.
  • We may suspend or terminate accounts that violate this section.

    5. Your Data

You own your data. Product catalogs, sales records, customer information, and other business data you input into Keel ("Merchant Data") belong to you, not to us.

We process Merchant Data to provide and improve the Service, and will not sell it to third parties.

Keel is built on infrastructure provided by third parties, including Supabase (database and authentication) and Railway (application hosting). These providers process data on our behalf under their own security and privacy commitments.

Where Merchant Data includes personal data of your customers or staff, you are responsible for having a lawful basis to collect and process that data, and for complying with applicable data protection law, including Kenya's Data Protection Act, 2019. We act as a data processor for such data; you act as the data controller.

You can request export or deletion of your Merchant Data by contacting us; we will honor such requests within a reasonable timeframe, subject to any legal retention requirements.

Upon account termination, we may retain Merchant Data for a limited period for recovery purposes, after which it may be permanently deleted.

    6. Service Availability

We aim to keep Keel available and reliable but do not guarantee uninterrupted or error-free service. Scheduled maintenance, third-party outages (e.g., Supabase, Paystack, hosting providers), or connectivity issues may cause downtime.

Keel includes offline-capable features for core transactional functions, but full functionality (e.g., sync, reporting) requires an internet connection.

We are not liable for losses arising from downtime or service interruptions, except where caused by our gross negligence.

    7. Intellectual Property

Keel's software, design, branding, and underlying technology are owned by us and protected by intellectual property law. Nothing in these Terms transfers ownership of Keel's IP to you.

You retain ownership of your Merchant Data and any content you upload (e.g., product photos).

You grant us a limited license to host, process, and display your Merchant Data solely to provide the Service to you.

    8. Third-Party Services

Keel integrates with third-party services (including Paystack for payments, and infrastructure providers for hosting and data storage). Your use of these integrations may also be subject to those providers' own terms. We are not responsible for the acts or omissions of third-party providers, though we will make reasonable efforts to resolve issues arising from our use of them.

    9. Termination

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account if you breach these Terms, fail to pay owed fees, or engage in activity that risks harm to Keel, other Merchants, or third parties.

Upon termination, your right to access the Service ends, though certain provisions (data handling, liability, IP) survive termination.

    10. Limitation of Liability

To the maximum extent permitted by law, Keel and its operators shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three (3) months preceding the claim.

This limitation does not apply to liability that cannot be excluded under applicable law (e.g., liability for fraud or gross negligence).

    11. Indemnification

You agree to indemnify and hold Keel harmless from claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right in connection with your use of Keel.

    12. Changes to These Terms

We may update these Terms from time to time. We will notify Merchants of material changes (e.g., via email or in-app notice) with reasonable advance notice before they take effect. Continued use of Keel after changes take effect constitutes acceptance of the updated Terms.

    13. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or your use of Keel will be subject to the exclusive jurisdiction of the courts of Kenya.

    14. Contact
